Your Team
Reporting to the Director, Governance, this role provides senior-level governance leadership and oversight of Board secretariat functions. You will work closely with the Board Chair, Chief Executive Officer and Executive Leadership Team to ensure robust governance arrangements, high-quality decision-making and compliance with legislative and policy obligations.
This is a high-trust, high-visibility role suited to a governance professional who can operate confidently at Board and Executive level and provide sound judgement in a fast-paced, complex environment.
What we are looking for
We are seeking a highly capable governance professional who brings sound judgement, discretion and the ability to influence at senior levels.
Your role
As Principal Governance and Board Officer, you will be responsible for the end-to end delivery of Board and Committee governance and secretariat services, ensuring EDQ consistently meets the highest standards of integrity, accountability and transparency.
Key responsibilities include:
- Leading the delivery of high-quality, confidential Board and Committee secretariat services.
- Providing authoritative advice on governance frameworks, statutory obligations and decision-making processes.
- Overseeing the development and maintenance of Board charters, policies, delegations, registers and governance documentation.
- Managing the annual calendar of Board and Committee meetings, including agendas, coordination of papers and timely circulation of meeting packs.
- Ensuring accurate and compliant records of meetings, decisions, actions and minutes.
- Supporting Board member appointments, renewals, induction and professional development.
- Managing budgets and expenditure associated with the Board and its Committees.
- Building and maintaining trusted relationships with the Board Chair, CEO, Executive Leadership Team and key internal and external stakeholders.
- Supporting governance assurance activities, including risk management, compliance and contribution to EDQ's Governance Framework and annual reporting obligations.
Highly regarded:
Experience within government, statutory authorities or similar public sector environments.
Qualifications in governance, law, public administration or a related discipline.
